These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and BeeRook ("Company," "we," "us," or "our") governing your access to and use of the BeeRook platform, including our website, mobile applications, and related services (collectively, the "Platform" or "Services"). By accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must immediately discontinue use of the Platform. 1.1. Age Requirement: You must be at least eighteen (18) years of age to use this Platform. By using the Platform, you represent and warrant that you are eighteen (18) years of age or older. We do not knowingly collect information from or direct any of our Services to individuals under eighteen (18) years of age. 1.2. Amendments: We reserve the right to modify, amend, or update these Terms at any time, in our sole discretion. Any changes will be effective immediately upon posting to the Platform. Your continued use of the Platform following the posting of revised Terms constitutes your acceptance of such changes.

BeeRook operates an online platform that facilitates connections between property owners, landlords, and property managers (collectively, "Landlords") and individuals seeking rental accommodations ("Renters" or "Tenants"). The Platform enables Users to: 2.1. Browse property listings with photographs, descriptions, pricing, and location information; 2.2. Create and manage User accounts; 2.3. Post property listings (for Landlords); 2.4. Save and bookmark properties of interest; 2.5. Communicate with other Users through our messaging system; 2.6. Receive notifications regarding property inquiries, messages, and account activity; 2.7. Track property views and engagement metrics (for Landlords); 2.8. Access rental guides, safety tips, and educational resources. IMPORTANT: BeeRook is NOT a real estate agency, property management company, landlord, or tenant. We do not own, manage, or control any properties listed on the Platform. We are solely a marketplace platform that facilitates communication between Users.

3.1. Account Creation: To access certain features of the Platform, including listing properties, saving favorites, and sending messages, you must create a User account. You may register using: (a) Email address and password; (b) Magic link authentication via email; (c) Third-party authentication services (e.g., Facebook OAuth). 3.2. Account Information: You agree to provide accurate, current, truthful, and complete information during the registration process and to maintain and promptly update such information to ensure its continued accuracy. You are solely responsible for all information associated with your account. 3.3. Account Security: You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree to: (a) Use a strong, unique password; (b) Not share your password with any third party; (c) Immediately notify us of any unauthorized access to or use of your account; (d) Log out of your account at the end of each session on shared or public devices. You are solely responsible for all activities that occur under your account, whether or not authorized by you. 3.4. Account Suspension and Termination: We reserve the right, in our sole discretion, to suspend, deactivate, or terminate your account at any time, with or without notice, for any reason, including but not limited to: (a) Violation of these Terms; (b) Fraudulent, abusive, or illegal activity; (c) Harassment of other Users; (d) Posting false, misleading, or inappropriate content; (e) Failure to respond to User inquiries in good faith (for Landlords).

4.1. Landlord Responsibilities: If you create a property listing, you represent and warrant that you: (a) Have legal authority to rent, lease, or sublease the property; (b) Possess all necessary permits, licenses, and approvals required by applicable law; (c) Will provide accurate, complete, and truthful information in all property listings; (d) Will upload authentic, current photographs that accurately represent the property's actual condition; (e) Will disclose all material defects, conditions, or limitations affecting the property; (f) Will respond to Renter inquiries in a timely and professional manner; (g) Will not discriminate against Renters on the basis of race, religion, gender, disability, or any other protected characteristic under Philippine law; (h) Will comply with all applicable national and local laws, including zoning regulations, building codes, and rental housing ordinances; (i) Will not post properties located outside the Philippines without our prior written consent. 4.2. Renter Responsibilities: If you inquire about or view properties, you agree to: (a) Provide accurate contact information; (b) Communicate respectfully and professionally with Landlords; (c) Not engage in harassment, threats, or abusive behavior; (d) Not spam or send unsolicited commercial messages; (e) Meet Landlords in safe, public locations when possible; (f) Verify property details and Landlord identity before making any payments; (g) Report suspicious activity, scams, or fraudulent listings to us immediately. 4.3. General User Conduct: All Users agree to use the Platform in compliance with all applicable laws and regulations and in a manner that does not infringe upon the rights of others.

5.1. Listing Creation: Landlords may create property listings by providing the following required information: (a) Property title and description; (b) Home type, number of bedrooms and bathrooms; (c) Monthly rental price; (d) Complete address and geographic coordinates; (e) Rental terms, availability date, deposit amount, and minimum lease period; (f) Amenities and property features; (g) House rules (guest policy, curfew, smoking policy); (h) Contact information (name and phone number); (i) Between three (3) and ten (10) photographs of the property. 5.2. Listing Accuracy: Landlords are solely and exclusively responsible for the accuracy, completeness, and legality of their property listings. BeeRook does NOT verify: (a) Property ownership or management authority; (b) Property condition, safety, or habitability; (c) Accuracy of photographs, descriptions, or pricing; (d) Availability of the property for rent; (e) Landlord identity, background, or reputation; (f) Compliance with local laws, regulations, or building codes. Platform Rights: We reserve the right, in our sole discretion and without prior notice, to: (a) Review, approve, reject, or remove any property listing; (b) Edit listing content for clarity, grammar, or compliance; (c) Flag or hide listings reported as suspicious or fraudulent; (d) Feature or promote certain listings; (e) Implement content moderation policies and automated filtering systems. 5.4. Prohibited Listings: You may not post property listings that: (a) Are false, fraudulent, deceptive, or misleading; (b) Contain stolen, copyrighted, or unauthorized photographs; (c) Advertise properties you do not have authority to rent; (d) Include discriminatory language or criteria; (e) Promote illegal activities or uses; (f) Contain explicit, offensive, or inappropriate content; (g) Misrepresent pricing, location, or material property features. 5.5. Listing Status: Property listings may have the following statuses: (a) Draft: Incomplete listing not visible to the public; (b) Active: Published and visible to all Users; (c) Archived: Removed from public view by the Landlord or Platform.

6.1. Messaging System: The Platform provides a real-time messaging system to facilitate communication between Landlords and Renters. Messages may include: (a) Text communications; (b) Image attachments (up to five per message, maximum 5MB each); (c) Quick response templates (for Landlords). 6.2. Message Storage and Access: All messages sent through the Platform are stored on our servers and are accessible to: (a) The sender and recipient of the message; (b) Platform administrators and authorized personnel for moderation, security, and legal compliance purposes. IMPORTANT: Messages are NOT end-to-end encrypted. Do not share sensitive personal information, financial account details, passwords, or government identification numbers via the messaging system. 6.3. Message Conduct: You agree not to use the messaging system to: (a) Send spam, unsolicited advertisements, or commercial solicitations; (b) Harass, threaten, or abuse other Users; (c) Share malicious links, viruses, or harmful content; (d) Impersonate another person or entity; (e) Solicit payments or personal information for fraudulent purposes; (f) Engage in any illegal activity. 6.4. Anti-Spam Measures: To prevent abuse, we implement rate limiting and anti-spam delays between messages. Excessive messaging may result in temporary restrictions or account suspension. 6.5. Message Retention: Messages are retained in accordance with our Privacy Policy and applicable data retention laws. We reserve the right to delete old messages or implement automatic expiration policies.

7.1. Free Platform: BeeRook currently provides its Services free of charge to all Users. There are no fees for: (a) Creating a User account; (b) Posting property listings; (c) Browsing properties; (d) Sending messages; (e) Accessing Platform features. 7.2. Future Fees: We reserve the right to introduce fees for certain Services in the future, including but not limited to: (a) Premium listing features or promoted placements; (b) Verification services; (c) Subscription plans for Landlords. Any such fees will be communicated to Users with at least thirty (30) days' advance notice. Your continued use of the Platform following the introduction of fees constitutes acceptance of such fees. No Transaction Involvement: BeeRook does NOT process, facilitate, or handle any rental payments, security deposits, or financial transactions between Landlords and Renters. All rental agreements, payments, and financial arrangements are made directly between Users, and BeeRook is not a party to any such transactions. 7.4. No Refunds: In the event that fees are introduced, all fees paid are non-refundable except as required by applicable law.

You agree not to engage in any of the following prohibited activities: 8.1. Illegal Activity: Use the Platform for any unlawful purpose or in violation of any local, provincial, national, or international law or regulation. 8.2. Fraud and Misrepresentation: Post false, fraudulent, deceptive, or misleading information, including fake property listings, stolen photographs, or misrepresented pricing. 8.3. Harassment and Abuse: Harass, threaten, intimidate, or abuse other Users, or engage in hate speech, discrimination, or offensive conduct. 8.4. Unauthorized Access: Attempt to gain unauthorized access to the Platform, other User accounts, or our computer systems, including through hacking, password mining, or any other means. 8.5. Data Scraping: Use automated systems, bots, scripts, or data scraping tools to collect, copy, or harvest data, content, or information from the Platform without our prior written consent. 8.6. Impersonation: Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity. 8.7. Malicious Code: Upload, distribute, or transmit viruses, malware, ransomware, or any other harmful or malicious code. 8.8. Interference: Interfere with or disrupt the integrity, performance, or operation of the Platform, including through denial-of-service attacks or system overload. 8.9. Circumvention: Attempt to bypass, disable, or interfere with security features, access controls, or usage restrictions implemented on the Platform. 8.10. Multiple Accounts: Create multiple accounts for fraudulent or deceptive purposes.

9.1. Platform Ownership: All intellectual property rights in and to the Platform, including but not limited to software, code, design, layout, graphics, logos, trademarks, service marks, text, and other content created by BeeRook (collectively, "Platform Content"), are owned exclusively by BeeRook or its licensors and are protected by Philippine and international copyright, trademark, patent, and other intellectual property laws. 9.2. Limited License to Users: Subject to your compliance with these Terms, BeeRook grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for personal, non-commercial purposes. 9.3. User-Generated Content: You retain all ownership rights to content you submit, post, or upload to the Platform, including property listings, photographs, descriptions, and messages (collectively, "User Content"). However, by submitting User Content, you grant BeeRook a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the operation, promotion, and improvement of the Platform. 9.4. User Representations: By submitting User Content, you represent and warrant that: (a) You own or have obtained all necessary rights, licenses, and permissions to the User Content; (b) The User Content does not infringe upon any third party's intellectual property, privacy, or other rights; (c) You have obtained all necessary consents and releases from individuals depicted in photographs. 9.5. Restrictions: You may not: (a) Copy, modify, distribute, sell, or lease any part of the Platform; (b) Reverse engineer, decompile, or disassemble the Platform's software or code; (c) Remove or alter any copyright, trademark, or proprietary notices.

[LAWYER REVIEW RECOMMENDED] TO THE MAXIMUM EXTENT PERMITTED BY PHILIPPINE LAW, THE FOLLOWING DISCLAIMERS APPLY: 10.1. "As Is" Service: THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY. 10.2. No Verification: WE DO NOT VERIFY, ENDORSE, OR GUARANTEE: (a) The identity, background, or reputation of Landlords or Renters; (b) The accuracy, completeness, or truthfulness of property listings; (c) The condition, safety, legality, or habitability of any property; (d) The authority of Landlords to rent or lease properties; (e) The ownership status of listed properties; (f) Compliance with applicable laws, regulations, or building codes; (g) The availability of properties advertised as available for rent. 10.3. No Guarantee of Results: WE MAKE NO REPRESENTATIONS OR WARRANTIES THAT: (a) The Platform will meet your requirements or expectations; (b) The Platform will be uninterrupted, secure, or error-free; (c) Any errors or defects in the Platform will be corrected; (d) Landlords will receive inquiries or successfully rent their properties; (e) Renters will find suitable properties or enter into rental agreements. 10.4. Third-Party Content: We are not responsible for the accuracy, legality, appropriateness, or reliability of User-Generated Content or third-party content accessed through the Platform. 10.5. User Responsibility: YOU ACKNOWLEDGE AND AGREE THAT YOU USE THE PLATFORM AT YOUR OWN RISK AND THAT YOU ARE SOLELY RESPONSIBLE FOR: (a) Conducting your own due diligence and investigation of properties, Landlords, and Renters; (b) Verifying the identity and authority of Landlords; (c) Inspecting properties in person before making any payments; (d) Reviewing rental agreements and ensuring legal compliance; (e) Taking all necessary precautions to protect your safety and security.

[LAWYER REVIEW RECOMMENDED] TO THE MAXIMUM EXTENT PERMITTED BY PHILIPPINE LAW: 11.1. Exclusion of Damages: IN NO EVENT SHALL BEEROOK, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY: (a) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; (b) LOSS OF PROFITS, REVENUE, BUSINESS, DATA, OR USE; (c) BUSINESS INTERRUPTION; (d) COST OF SUBSTITUTE SERVICES; (e) PERSONAL INJURY OR PROPERTY DAMAGE; (f) EMOTIONAL DISTRESS OR REPUTATIONAL HARM; ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 11.2. Specific Exclusions: WE SHALL NOT BE LIABLE FOR: (a) Disputes, disagreements, or conflicts between Landlords and Renters; (b) Fraudulent, deceptive, or misleading listings or User conduct; (c) Failure of Landlords to honor rental agreements or property availability; (d) Property damage, personal injury, theft, or criminal activity occurring in connection with properties listed on the Platform; (e) Unauthorized access to User accounts or data breaches; (f) Loss or corruption of User Content; (g) Actions or omissions of third-party service providers. 11.3. Cap on Liability: BEEROOK'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (a) TEN THOUSAND PHILIPPINE PESOS (₱10,000.00); OR (b) THE TOTAL AMOUNT OF FEES (IF ANY) YOU PAID TO BEEROOK IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. 11.4. Inapplicability to Certain Jurisdictions: Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. If these laws apply to you, some or all of the above disclaimers, exclusions, or limitations may not apply, and you may have additional rights.

[LAWYER REVIEW RECOMMENDED] You agree to defend, indemnify, and hold harmless BeeRook, its parent company, subsidiaries, affiliates, and their respective officers, directors, employees, agents, contractors, and licensors (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or relating to: 12.1. Your use or misuse of the Platform; 12.2. Your violation of these Terms; 12.3. Your violation of any applicable laws, regulations, or third-party rights; 12.4. User Content you submit, post, or upload to the Platform; 12.5. Your property listings, including misrepresentations, inaccuracies, or unauthorized use of photographs; 12.6. Your interactions, communications, or transactions with other Users; 12.7. Your failure to disclose material defects or conditions affecting a property; 12.8. Disputes between you and other Users; 12.9. Any personal injury, property damage, or other harm arising from your use of the Platform or rental of properties listed on the Platform; 12.10. Negligence, willful misconduct, or illegal acts by you. BeeRook reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with BeeRook in asserting any available defenses.

Governing Law: These Terms and any disputes arising out of or relating to the Platform shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law principles. 13.2. Jurisdiction and Venue: You agree that any legal action, claim, or dispute arising out of or relating to these Terms or the Platform shall be brought exclusively in the courts of Baguio City, Benguet, Philippines. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts. 13.3. Negotiation: Prior to initiating formal legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation for a period of thirty (30) days. 13.4. Arbitration (Optional): The parties may mutually agree to resolve disputes through binding arbitration in accordance with the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI) or another mutually agreed-upon arbitration body. 13.5. Class Action Waiver: TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. 13.6. No Agency: Nothing in these Terms shall be deemed to create an agency, partnership, joint venture, employer-employee, or franchisor-franchisee relationship between you and BeeRook.

14.1. Termination by User: You may terminate your account at any time by: (a) Contacting us at support@beerook.com; (b) Following the account deletion process in your account settings (if available). 14.2. Termination by BeeRook: We reserve the right, in our sole discretion, to suspend, deactivate, or terminate your account and access to the Platform, with or without notice, for any reason, including but not limited to: (a) Violation of these Terms or our policies; (b) Fraudulent, deceptive, or illegal activity; (c) Harassment, threats, or abuse of other Users; (d) Posting false, misleading, or inappropriate content; (e) Failure to respond to User inquiries (for Landlords); (f) Multiple reports or complaints from other Users; (g) Suspected security breach or compromise of your account; (h) Extended period of account inactivity; (i) Any conduct that we determine, in our sole discretion, to be harmful to the Platform, other Users, or BeeRook's interests. 14.3. Effect of Termination: Upon termination of your account: (a) Your right to access and use the Platform will immediately cease; (b) Your property listings will be removed from public view; (c) You will no longer be able to send or receive messages; (d) We may delete your User Content and account data in accordance with our data retention policies; (e) Sections of these Terms that by their nature should survive termination (including Sections 9, 10, 11, 12, and 13) shall remain in effect. 14.4. Data Retention: Following account termination, we may retain certain User data for legal compliance, fraud prevention, and record-keeping purposes as described in our Privacy Policy.

15.1. Right to Modify Terms: We reserve the right to modify, amend, or update these Terms at any time, in our sole discretion, to reflect changes in: (a) Applicable laws or regulations; (b) Platform features or functionality; (c) Business practices or policies; (d) Legal or regulatory requirements. 15.2. Notice of Changes: Material changes to these Terms will be communicated through: (a) Email notification to the address associated with your account; (b) Prominent notice on the Platform homepage; (c) In-app notification upon login. 15.3. Effective Date: Changes will become effective immediately upon posting to the Platform or as otherwise specified in the notice. Your continued use of the Platform following the posting of revised Terms constitutes your acceptance of and agreement to the changes. 15.4. Objection to Changes: If you do not agree to modified Terms, your sole remedy is to discontinue use of the Platform and terminate your account. 15.5. Modifications to Services: We reserve the right to modify, suspend, or discontinue any aspect of the Platform, including features, functionality, or availability, at any time, with or without notice, and without liability to you or any third party.

16.1. Entire Agreement: These Terms, together with our Privacy Policy and any other policies or guidelines posted on the Platform, constitute the entire agreement between you and BeeRook regarding your use of the Platform and supersede all prior agreements, understandings, and communications. 16.2. Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable. 16.3. Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of BeeRook. 16.4. Assignment: You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. We may freely assign or transfer these Terms and our rights and obligations hereunder. 16.5. Force Majeure: BeeRook shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government actions, or internet service disruptions. 16.6. Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights except as expressly stated herein. 16.7. Headings: Section headings in these Terms are for convenience only and shall not affect the interpretation of these Terms. 16.8. Language: These Terms are written in English. Any translations are provided for convenience only. In the event of a conflict between the English version and a translation, the English version shall prevail.
